1. Introduction

Welcome to Luke Clarke & Co (“we”, “us”, “our”). We operate an AI-powered property matchmaking service that connects property sellers and investors (“the Service”). By using the Service, you agree to these Terms of Use. Please read them carefully. Definitions:

  • Seller: a person or company submitting a property for potential sale.

  • Investor: a person or company seeking property investment opportunities.

  • Match: when our system identifies a potential alignment between a Seller’s property and an Investor’s criteria.

  • Finder’s Fee: the fixed fee of £3,500 payable to us if a transaction is completed following a Match.

  • Platform: the website and related services we provide.

2. Scope of Services

We act only as an introducer. We provide automated matching between Sellers and Investors based on the information you submit. We do not provide financial advice, legal advice, or estate agency services. We do not guarantee that Matches will lead to a transaction.

3. User Eligibility

You must be at least 18 years old to use the Service. You confirm that any information you submit is accurate and lawful.

4. Finder’s Fee & Payments

  • A Finder’s Fee of £3,500 (three thousand five hundred pounds) is payable upon completion of a transaction between a Seller and Investor introduced through the Platform.

  • The Finder’s Fee is payable by the Seller unless otherwise agreed in writing.

  • Payment is due within 14 days of completion.

  • If payment is not made, we reserve the right to suspend access and take legal steps to recover fees.

5. User Responsibilities

  • Provide accurate and complete information.

  • Conduct your own due diligence before entering into any property transaction.

  • Comply with all applicable laws, including anti-money laundering (AML) and tax reporting.

6. Our Responsibilities

  • Provide the Service with reasonable skill and care.

  • Take appropriate steps to protect your data.

  • Provide property data sourced from third parties (such as the UK Land Registry) on an “as is” basis.

7. Third-Party Data & APIs

We may use third-party data sources, such as the UK Land Registry. You acknowledge that:

  • Data may be incomplete, delayed, or inaccurate.

  • You may not copy or redistribute such data without permission.

  • We comply with relevant licensing obligations.

8. Liability & Disclaimers

  • We do not guarantee the accuracy of Matches or data.

  • We are not responsible for any loss or damage arising from reliance on the Service.

  • To the maximum extent permitted by law, our liability is limited to the amount of fees paid to us by you in the previous 12 months.

  • Nothing in these Terms limits liability for fraud or death/personal injury caused by negligence.

9. Termination & Suspension

We may suspend or terminate your access if you:

  • Breach these Terms

  • Provide false or misleading information

  • Fail to pay fees due

10. Governing Law

These Terms are governed by the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
